1. Acceptance of Terms

By accessing or using HOMEFolio ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Services & Features

HOMEFolio provides property management tools including:

• Document Management: Upload, organize, and manage property documents
• AI-Powered Insights: Automated document analysis and smart suggestions
• Equipment Tracking: Appliance inventory and maintenance scheduling
• Contact Management: Organize vendors, contractors, and service providers
• Financial Tracking: Monitor property expenses and maintenance costs
• Home Health Score: Patent-pending property health assessment system
• Upload Links: Secure file sharing with external parties

3. User Accounts

Account Creation

To use HOMEFolio, you must be at least 18 years old, provide accurate information, maintain the security of your password, and accept responsibility for all activities under your account.

Account Security

You are responsible for maintaining confidentiality of your credentials and notifying us immediately of any unauthorized access at support@homefolio.ai.

Upload Links allow you to share secure file upload capabilities with external parties without requiring HOMEFolio accounts.

Your Responsibilities

• Only share links with trusted individuals for legitimate property purposes
• Monitor uploads and revoke links if misused
• Accept responsibility for all content uploaded via your links
• Ensure uploaded content complies with applicable laws

6. User Content & Intellectual Property

Your Content

You retain all ownership rights to content you upload. By uploading content, you grant HOMEFolio a worldwide, non-exclusive, royalty-free license to store, display, and process your content solely to provide the Service.

Our Intellectual Property

The Service, including all software, algorithms, designs, trademarks, and logos, is owned by HOMEFolio and protected by intellectual property laws. You may not copy, modify, or reverse engineer any part of the Service.

7. AI Services & Large Language Models

Our AI features use LLMs from third-party providers (OpenAI, Anthropic) to analyze your property documents and generate insights. Your data is sent temporarily for analysis and discarded after — it is not used to train models.

8. Payment & Billing

HOMEFolio is currently in development and may be offered free of charge. If we introduce paid plans, we will provide 30 days' notice before charging, with clear pricing displayed before purchase.

9. Limitation of Liability

To the maximum extent permitted by law, the Service is provided "AS IS" without warranties. HOMEFolio shall NOT be liable for any indirect, incidental, special, or consequential damages, including loss of data, service interruptions, third-party failures, or AI errors.

Liability Cap: Our total liability shall not exceed the greater of (a) $100 or (b) amounts you paid us in the 12 months before the claim.

10. Indemnification

You agree to indemnify and hold harmless HOMEFolio from claims arising from your use or misuse of the Service, violation of these Terms, infringement of third-party rights, or content you upload.

11. Dispute Resolution & Arbitration

Before filing a claim, contact us at legal@homefolio.ai to resolve the dispute informally (we'll attempt resolution within 60 days). Unresolved disputes will be handled through binding arbitration under AAA rules.

Governing law: State of Delaware, United States. Arbitration venue: Wilmington, Delaware.

12. Force Majeure

HOMEFolio shall not be liable for failures caused by events beyond our reasonable control, including third-party service outages (AWS, OpenAI, Anthropic), internet disruptions, natural disasters, acts of government, cyber attacks, or pandemics.

13. Termination

You may terminate your account at any time by contacting support@homefolio.ai. We may suspend or terminate your account immediately without notice for violations of these Terms, fraudulent activity, or excessive costs.

Upon termination, your right to use the Service ceases immediately. Sections 6, 9, 10, and 11 survive termination.

14. Changes to Terms

We reserve the right to modify these Terms. We will notify you via email or in-app notification with 30 days' notice before changes take effect. Continued use constitutes acceptance of the modified Terms.
